COMPUTER SERVICE CONTRACT

BETWEEN

3X COMPANY AND DOSA

It is hereby agreed that this service contract is made between 3X company and DOSA for the following purpose:

For 3X company to repair, provide virus protection, and perform other needed software and hardware maintenance for computer system owned by DOSA, including peripheral devices such as printers, scanners, and other system hardware. 3X company will provide these services for DOSA’s Phnom Penh, Kraties, Steung Treng, and Ratanakari. 

Following are the details of this service contract:

1.                    Applicability: This service contract applies to the following computers owned by DOSA.

2.                    Change in Computers: It is agreed that if additional computers or peripheral devices are purchased by DOSA, that a proportionate increase in service fee will be negotiated with and paid to 3X computers. If equipment is retired by DOSA, a proportionate decrease in service fee will also be negotiated.

3.                    Service: 3X computer agreed to provide the following services:

·         Check and maintain performance of operating systems and essential software programs;

·         Maintain and update virus protection on all computers on at least a monthly basis;

·         Diagnose and repair problems with computer hardware and peripheral devices;

·         Perform other system maintenance as needed to keep the computers operating properly; and

·         Train one person in each provincial office to act as DOSA’s “on-site” administrator who can serve at a contract point for DOSA, and to perform certain basis tasks related to computer maintenance (with coaching from the company).

4.                    Frequency of On-site Maintenance: 3X agrees to visit all DOSA office at least once per month, including the provincial offices.

5.A.                 Non-Scheduled Maintenance of Provincial Computers: For “non-schedule” maintenance

and repair of compters form DOSA’s provincial office (i.e., maintenance that does not coincide

with 3X’s planned monthly site visits), DOSA generally will ship the computers or peripheral to 3X in Phnom Penh. DOSA will arrange for all shipping of computers to and from the provincial offices.

5.B.                 The cost of non-scheduled maintenance and repair of provincial office computers will be US $ 8.00 per computer, exclusive of parts.

5.C.                 Under special circumstances, it may be necessary to have 3 X company technicians perform non-schedule repairs directly in the provincial office, inclusive of travel costs. DOSA agrees to pay US $25.00 per day for technician for such visits, plus all travel and transport costs of such trip (see also No.7 bellow).

6.     Payment for Services: DOSA will pay 3X company on the following basis:

·         US $8.00 per computer per month in the DOSA Phnom Penh Office, inclusive of travel cost;

·         US $50.00 per service trip to DOSA’s provincial offices (includes stop in the provincial office), travel costs;

·         US $300.00 for the initial site visit, plus travel costs. The initial visit will be made personally by PhD. xxxx and one assistant.

·         US $25.00 per day for individual provincial site visits for emergency repairs, plus travel/transport costs.

·         US $8.00 per computer for provincial computers delivered to 3X company for repair (plus parts).

Payment for services rendered by 3X will be paid on a monthly basis by DOSA Phnom Penh, following submission and approval of service invoices by 3X.

7.                    Travel and Transport: DOSA agrees to cover all reasonable travel, transport, and accommodation

costs for 3X service technicians on both scheduled and non-scheduled provincial visits. DOSA will

make needed reservations and ticket purchases for transportation to/from the provinces, and

accommodation while in the provinces. DOSA also will reimburse 3X for all reasonable travel

costs paid directly by 3X staff, in situations where DOSA is not able to make such purchase or arrangements for 3X company. 3X will provide all travel and transport receipts to DOSA Phnom Penh as part of its monthly invoice.

  

8.                    Brief Report: 3X will provide brief summary reports of each provincial visit along with the monthly invoices. The summary reports should include any important finding, and recommendations for keeping all computer systems operating at peak efficiency.

9.                    Effective Dates: This service contract will remain in effect for three (3) months beginning 1 April, 2008 and ending 30 June 2008. This service contract can be renewed under these same terms for an additional nine (9) months upon mutual agreement by DOSA and 3X.

10.                 Termination: This service contract can be remained by either party, provided that the terminating party gives the other party at least one (1) month’s notice, or provide one month’s payment in lien thereof.
